GI Amenity Group does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components; that defects will be corrected; or that the information on the Site is complete, accurate, or current. 6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GI AMENITY GROUP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL GI AMENITY GROUP’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

8. Vending and Amenity Services

These Terms govern your use of the Site only. The provision of vending equipment, product restocking, maintenance, and all other amenity services by GI Amenity Group to your organization is governed exclusively by the separate written service agreement executed between GI Amenity Group and your authorized representative.

Nothing on this Site constitutes an offer to provide services, a binding price quote, or a guarantee of availability in any specific location. All service arrangements are subject to GI Amenity Group’s operational capacity, geographic coverage, and the terms of a separately negotiated agreement.

 

9. Indemnification

You agree to indemnify, defend, and hold harmless GI Amenity Group, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, any use of the Site’s content other than as expressly authorized in these Terms.

 

10. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to the Site or these Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Hudson County, New Jersey, and you hereby consent to personal jurisdiction and venue in such courts.

12. Severability and Entire Agreement

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable from the remaining Terms and will not affect the validity or enforceability of the remaining provisions.
